Terms of Service

Peepaly (peepaly.com) is operated by Show 4 Reel Media Pty Ltd, a company registered in New South Wales, Australia, as part of the Simplaful family of products. By accessing or using the Peepaly prototype (the "Service"), you agree to be bound by these Terms of Service and by the platform-wide terms at simplaful.com/terms. If you do not agree, please do not use the Service.

You must be at least 18 years old and legally capable of entering a contract to use the Service. Any employee or contractor information you enter must relate to people lawfully engaged by your business.

The current Peepaly prototype does not require an account. You can explore the application directly in your browser. In the future, we may introduce optional accounts or cloud features. If that happens, separate terms will apply to those features.

• Do not use the Service for unlawful, harmful, or fraudulent activity.
• Do not attempt to disrupt, reverse engineer, or gain unauthorised access to any part of the Service.
• Do not upload malware or content that infringes the rights of others.
• Do not access another business's data, or attempt to circumvent access controls or plan limits.
• Do not resell, sublicense or white-label the Service without our written consent.
• Do not use automated scraping, bulk extraction, or load-generating tools against the Service.
• Do not use the Service to harass, discriminate against, or unlawfully surveil any person.

We are planning a Pro plan at approximately $8 USD per month, which would include unlimited employees, unlimited welcome packs, document management, the templates library, smart reminders and priority support. Today, Peepaly is a prototype and does not process payments or subscriptions. No billing occurs until a paid plan is officially launched and you choose to subscribe.

Because the prototype does not bill users, there are no renewals, cancellations or refunds to manage today. When paid plans are introduced, we will publish clear billing, cancellation and refund terms before any charge is made.

You retain ownership of all information you enter into Peepaly, including employee records, onboarding responses and uploaded documents ("Customer Content"). Customer Content is stored locally in your browser and is not transmitted to our servers. You can export or delete your data at any time by clearing your browser's local storage for this site.

You are responsible for collecting employee information lawfully, providing appropriate notice to the people concerned, obtaining any consents required, and complying with applicable employment and privacy laws in your jurisdiction. As between you and us, you are the controller of employee personal information and we process it on your instructions.

Documents uploaded through Peepaly remain Customer Content. You must have the right to store and process each document you or your new hires upload, and you must handle sensitive documents — such as tax forms, identity documents and bank details — in accordance with local regulations.

The Service, including its software, design, trademarks and content, is owned by Show 4 Reel Media Pty Ltd and protected by intellectual property laws. These Terms do not grant you rights to use the Peepaly or Simplaful branding without written consent.

We aim to keep Peepaly available at all times, but we do not guarantee uninterrupted access. Planned maintenance and unforeseen outages may occur, and features may change over time.

To the extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Peepaly is an organisational tool and does not provide legal, employment, tax or compliance advice.

To the maximum extent permitted by law, Show 4 Reel Media Pty Ltd and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data or goodwill arising out of your use of the Service.

Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) AUD $100.

Nothing in these Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures you are entitled to cancel your service contract and obtain a refund for the unused portion, or to compensation for reduced value. You are also entitled to have services remedied if they are not of acceptable quality and the failure does not amount to a major failure.

You may stop using the Service at any time. Because the prototype stores data locally, you can delete your data by clearing your browser's local storage for this site. We may suspend or terminate access if these Terms are breached or if continued provision of the Service becomes impractical.

These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state.

We may update these Terms from time to time. Material changes will be highlighted in the application or notified by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
